The SELPA’s legal status is that of an unincorporated association. Each local education agency shall share in the governance and operation of the SELPA as outlined in this section.
The governing body of the SELPA is the SELPA Executive Board. Members of the SELPA Executive Board are responsible to the governing boards of the local education agencies in the SELPA.
The SELPA Executive Board shall be comprised of six superintendents; the Superintendent of each district and the County Office of Education within Napa County.

- Napa County Office of Education (NCOE): 1 Vote
- Napa Valley Unified School District: 5 Votes
- Pope Valley Union Elementary School District: 1 Vote
- St. Helena Unified School District: 1 Vote
At least eight (8) votes are required for any action item to pass.
A charter school, chartered through one of the governing boards of the SELPA, that operates as its own local educational agency for special education purposes shall be represented on the SELPA Executive Board. Should this occur the weighted voting structure of the SELPA Executive Board shall be adjusted to accommodate the new Charter School LEA.
The slate of officers of the SELPA Executive Board shall consist of a chairperson and vice- chairperson. The SELPA Executive Board has established a rotation of LEA superintendents to serve in the role of chairperson with the outgoing chair serving in the capacity as vice chair.
The term of office shall consist of two school years, beginning on July 1 of the year elected and ending on June 30th of the second year.
The chairperson shall convene each meeting, presiding over the same, and shall prepare the agenda in conjunction with the SELPA Director. The vice-chairperson shall assume all the responsibilities of the chairperson in the absence of the chairperson.
The SELPA Executive Board shall meet at least three (3) times a year unless otherwise decided by a vote of the Executive Board. When necessary, the chairperson may call for special meetings or cancel regular meetings.
